Terms of Service

These Terms of Service govern your access to and use of Heidi, the AI meeting copilot that records, transcribes, analyzes, and helps you act on your meetings.

1. Agreement and Acceptance

These Terms of Service (the "Terms") form a binding agreement between you and Heidi (ID Digital Lab, 17 Rue de Rosheim, 67000 Strasbourg, France) ("Heidi," "we," "us," or "our") and govern your access to and use of the Heidi website at hi-heidi.ai, the application at app.hi-heidi.ai, the meeting bot, and all related features and services (together, the "Service"). By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Service.

We may update these Terms from time to time to reflect changes in the Service, in law, or in our practices. When we make material changes, we will take reasonable steps to notify you, for example by email or through an in-app notice, before the changes take effect. Your continued use of the Service after an update becomes effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Service and may cancel your account.

2. Eligibility and Authority

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use the Service. By using the Service you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you individually and to that entity, and the entity is jointly responsible for compliance with these Terms.

3. Accounts and Security

To use most features of the Service you must create an account and provide accurate, current, and complete information. You are responsible for keeping your account information up to date and for all activity that occurs under your account.

You are responsible for safeguarding your login credentials and for any authentication method you connect to your account. You must keep your credentials confidential and must not share them with unauthorized persons. You agree to notify us promptly at info@hi-heidi.ai if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

4. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to violate any applicable law or regulation, to infringe the intellectual property, privacy, or other rights of any person, or to record or process meetings without the consent required by law.

You must not, and must not attempt to: (a) access, tamper with, or use non-public areas of the Service or our systems; (b) probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure; (c) reverse engineer, decompile, or disassemble any part of the Service except to the extent permitted by law; (d) introduce malware, or use the Service to distribute unsolicited communications or harmful, harassing, defamatory, or unlawful content; (e) use bots, scrapers, or automated means to access the Service other than through interfaces we provide; or (f) resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted. We may investigate and take appropriate action, including suspending or terminating access, in response to suspected violations.

5. Recording and Participant Consent

Heidi is a recording, transcription, and analysis product. When you direct Heidi to join a meeting, the meeting bot may record audio and video, generate transcripts, and produce AI summaries, scores, and coaching. Laws governing the recording of conversations and meetings vary significantly by country, state, and region, and some require the consent of some or all participants.

You are solely responsible for determining what notice and consent your local laws require and for obtaining that consent before recording. This includes informing all meeting participants that the meeting is being recorded and analyzed by Heidi and, where required, securing their agreement. You must not use the Service to record any meeting or conversation where doing so would be unlawful. You agree to indemnify Heidi against any claim arising from your failure to meet these obligations, as set out in the Indemnification section below.

6. Your Content and Licence Grant

As between you and Heidi, you retain all rights in and to the content you provide to or generate through the Service, including meeting audio, video, transcripts, AI-generated summaries and scores, and any calendar, contact, email, or CRM data you choose to connect or sync (together, "Your Content"). We do not claim ownership of Your Content.

You grant Heidi a limited, worldwide, non-exclusive licence to host, store, process, transmit, and display Your Content, and to create derivative outputs such as transcripts, summaries, scores, and follow-ups, solely as necessary to operate, provide, secure, and improve the Service for you and to perform the features you request. To deliver the Service we use a limited set of vetted sub-processors under data-protection agreements, including Stripe (payments), alongside providers for our meeting-recording infrastructure (SOC 2, HIPAA and ISO 27001 certified), EU cloud hosting, AI and language-model processing, and voice. A current, full sub-processor list is available to business customers on request.

We do not use Your Content to train foundation or AI models, and our AI and processing vendors are contractually restricted from training their models on Your Content. Heidi is hosted in Europe and operated in a GDPR-oriented manner. Further detail on how we handle your data, our retention periods, and your rights is set out in our Privacy Policy and Data Processing terms.

7. AI Features and Accuracy Disclaimer

The Service uses artificial intelligence to generate transcripts, summaries, room scores (such as Pulse, Trust, and Impact), live coaching, meeting preparation, and follow-up drafts. These outputs are produced automatically and may be incomplete, inaccurate, or otherwise imperfect. Speaker attribution, wording, scores, and recommendations may contain errors.

You are responsible for reviewing and verifying AI-generated outputs before relying on them or acting on them, particularly before sending communications, executing follow-ups, or making decisions based on them. Heidi's outputs are provided for informational and productivity purposes only and do not constitute legal, financial, medical, professional, or other specialized advice. You should not treat them as a substitute for professional judgment or independent verification.

8. Third-Party Integrations

The Service allows you to connect third-party products and data sources, such as calendars, CRMs, and communication tools, and relies on third-party sub-processors to function. When you enable an integration, you authorize Heidi to access and exchange data with that third party as needed to provide the feature.

Your use of any third-party service is governed by that third party's own terms and privacy policy, not by these Terms. We do not control and are not responsible for the availability, accuracy, security, or practices of third-party services. If a third-party service changes or discontinues its integration, related Heidi features may be affected. You are responsible for ensuring you have the right to connect any account or data source you link to the Service.

9. Subscriptions, Trial, Billing, and Cancellation

Heidi offers a 14-day free trial. A valid payment method is required to start the trial. You will not be charged during the 14-day trial, and you can cancel before the trial ends at no cost; otherwise the subscription begins and the first charge occurs at the end of the trial. Certain features may be limited during the trial.

Paid plans are billed on a recurring subscription basis through our payment processor, Stripe. By subscribing to a paid plan, you authorize us and Stripe to charge the applicable fees to your payment method on each billing cycle. Subscriptions renew automatically for successive periods until you cancel. You may cancel at any time, and cancellation will take effect at the end of the then-current billing period; you will continue to have access until that period ends.

Cancellation is your remedy for ending your relationship with Heidi. We do not offer a separate money-back or refund guarantee beyond the ability to cancel, and, except where required by applicable law, fees already paid are non-refundable. Prices are exclusive of taxes unless stated otherwise, and you are responsible for any applicable taxes, duties, or similar charges. We may change our prices or plans on a going-forward basis, with notice before changes affect your next renewal.

10. Intellectual Property and Ownership of the Service

The Service, including the Heidi software, website, application, meeting bot, models and prompts we develop, user interfaces, designs, text, graphics, logos, and the "Heidi" name and branding, is owned by Heidi or its licensors and is protected by intellectual property and other laws. Except for the rights expressly granted to you in these Terms, we reserve all rights, title, and interest in and to the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business or personal purposes. You may not copy, modify, distribute, sell, or lease any part of the Service, and you may not remove or obscure any proprietary notices. If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free licence to use that feedback without obligation to you.

11. Warranties Disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, that AI-generated outputs will be accurate or complete, or that the Service will meet your requirements. Heidi is pursuing SOC 2 and HIPAA readiness, but these certifications are in progress and not yet in place, and nothing in the Service or these Terms should be read as a representation that Heidi is SOC 2 or HIPAA certified. Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Heidi and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you paid to us for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Heidi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with: (a) your use of the Service; (b) Your Content and the data sources you connect; (c) your violation of these Terms or of any applicable law; and (d) your recording, notice, or consent obligations in connection with meetings, including any failure to obtain the participant consent required by law.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

14. Suspension and Termination

You may stop using the Service and cancel your account at any time. Following cancellation, account data is retained for approximately 30 days and then deleted, and you may export or delete Your Content at any time as described in our Privacy Policy.

We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, if your use poses a security or legal risk to Heidi or others, if required by law, or if you fail to pay applicable fees. Where practicable and lawful, we will give you notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination, including ownership, disclaimers, limitation of liability, and indemnification, will survive.

15. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by French law, without regard to conflict-of-laws principles.

You and Heidi agree to submit to the exclusive jurisdiction of the courts of Strasbourg, France to resolve any dispute, subject to any mandatory consumer protection rights available to you under the law of your place of residence. Before initiating formal proceedings, we encourage you to contact us at info@hi-heidi.ai so that we can try to resolve the matter informally.

16. Changes to the Service

We are continually improving the Service and may add, modify, or remove features, functionality, or integrations at any time. We may also impose limits on certain features or restrict access to parts of the Service.

Where a change materially and adversely affects a paid feature you rely on, we will use reasonable efforts to provide notice. We are not liable to you or to any third party for modifying, suspending, or discontinuing any part of the Service, except as expressly set out in these Terms or required by law.
